The boardroom
behind the chart.
AMF BWA HOLDING LLC is an Ohio limited liability company seated at 5801 Madison Road, Cincinnati, Ohio 45227. The house exists for one reason: corporate structure is decided once and lived with for decades. We draw it correctly the first time — the ownership lines, the control lines, and the reporting lines underneath them.
Own. Direct.
Never confuse them.
Tier A is a register of ownership structures — thirteen corporate forms whose legal job is to hold, not to run. Bank and financial holding companies live under federal holding-company law; insurance, utility and railroad parents under their own regimes; personal and nonbank parents under state corporate law and federal tax rules.
Tier B is where direction happens — head offices, regional offices, centralized administration and subsidiary management. When a structure needs to act, the work belongs on this floor, with reporting lines and delegated authority written down.
The discipline is the same one regulators apply: an entity that only owns must not drift into managing, and an office that manages must have the charter and the minutes to prove it.
Three rules the
boardroom runs on.
Map before you move.
No entity is formed, acquired or reorganized until its node on the chart is drawn — parents, subsidiaries, percentages, control rights and reporting lines. A diagram is cheaper than a restructuring.
Respect the holding/managing line.
A passive parent and an active parent are different legal animals. We keep the activities of each entity inside its charter — so a BHC stays a BHC, and a management office carries the authority it's supposed to.
Paper the authority.
Every act of control leaves a record: board minutes, consents, delegation instruments, subsidiary policies. If a regulator or a court ever reads the chart, the paperwork should tell the same story as the diagram.
How an engagement moves
through the boardroom.
From first file to adopted minute, every matter follows the same sequence — so nothing is chartered before it is drawn, and nothing is adopted without a record.
Asked at the table.
Does AMF BWA itself hold subsidiaries?
AMF BWA HOLDING LLC is a holding company seated on Madison Road. The twenty nodes describe the structures and offices we form, organize, house and administer for clients — banks' parents, family holding companies, regional HQs and subsidiary management operations among them.
What's the real difference between a holding company and a managing parent?
A holding company owns equity and exercises shareholder rights; a managing parent directs operations. Bank and thrift holding companies face federal regulation precisely at this boundary — crossing it can trigger registration, supervision and activity restrictions. We chart the line before you cross it.
Can a headquarters office be a separate legal entity?
Yes — centralized administrative offices, regional offices and subsidiary management companies are often separate entities that charge management fees and employ shared staff. The chart determines the entity; the entity determines the tax, employment and liability treatment.
Do you handle regulated holding structures like BHCs and SLHCs?
We work across the full register including bank, savings-and-loan, thrift, utility and railroad classes. Regulated structures are mapped against their governing regime before formation; we coordinate with your counsel and, where needed, the supervising agency's requirements.
How does an engagement start?
Open a file with a description of the group — entities owned, who directs what, and what you want the structure to do. The parent's office responds within two business days with a scoping conversation, then a written chart and engagement terms.
